These Terms of Service ("Terms") govern your use of the Ailan mobile application and the ailan.app website (together, the "Service"), operated by the founders of Ailan, Arslan and Das, operating the Ailan platform pending incorporation of a Delaware corporation ("Ailan," "we," "us," "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What Ailan Is
Ailan is a technology platform that hosts fitness clubs and programs created by independent third-party fitness creators ("Creators"). Ailan provides the software, hosting, access management, and technical infrastructure. Ailan does not create, own, endorse, or supervise Creator content, and is not a party to the relationship between a Creator and their subscribers. Creators are independent and solely responsible for their content, pricing, claims, and conduct.
2. Eligibility
You must be at least 18 years old to use the Service. By using the Service you represent that you are 18 or older and legally able to enter these Terms.
3. Assumption of Risk — Physical Activity
Exercise carries inherent risk of injury or death. Programs on Ailan are general fitness content created by independent Creators; they are not medical advice and are not personalized to your health. You should consult a physician before beginning any program. By using the Service, you voluntarily assume all risks arising from physical activity, and you release Ailan, its founders, and Creators from liability for any injury, loss, or damage arising from your use of any program, to the fullest extent permitted by law.
4. Accounts
You are responsible for your account credentials and all activity under your account. Provide accurate information. We may suspend or terminate accounts under Section 8.
5. Payments (Creator as Merchant of Record)
Subscriptions to a Creator's club are sold by the Creator and processed through the Creator's own payment provider (e.g., Stripe). The Creator is the merchant of record. Ailan does not hold, process, or control subscriber fundsand is not responsible for billing, chargebacks, or refunds. The charge on your statement will reflect the Creator's account. Refunds are governed by the Refund Policy and handled by the Creator.
6. Creator Content and Conduct
Creators are solely responsible for their content and for compliance with all applicable laws. Ailan does not pre-screen all content. Content must not be illegal, infringing, harmful, hateful, sexually explicit, or otherwise objectionable. Profanity is permitted; targeted harassment, hate speech, or content attacking protected classes is not.
7. Acceptable Use
You may not misuse the Service: no unlawful use, no reverse engineering, no scraping, no circumventing access controls, no uploading malware, no infringing others' rights.
8. Suspension and Termination
Ailan may suspend or terminate any account or remove any content at its sole discretion, for any reason or no reason, with or without cause, at any time, without liability and without obligation to state a reason.For clearly illegal or egregious content, removal and termination are immediate. Ailan's determination of what is acceptable is final. You waive any claim arising from suspension, termination, or content removal. Upon a Creator's termination, subscriber billing for that club stops; access to already-paid periods is handled under the Refund Policy.
9. Moderation and Reporting
The Service provides a mechanism to report content. Ailan reviews reports and acts at its discretion. Creators may appeal a removal in non-egregious cases; egregious violations are removed without appeal.
10. Legal Compliance and Disclosure
Ailan may preserve and disclose content or information to law enforcement or third parties where we believe in good faith it is necessary to comply with law, respond to lawful requests (e.g., subpoena or court order), enforce these Terms, or prevent harm. Ailan reports illegal content, including child sexual abuse material, as required by law.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Ailan does not warrant that the Service will be uninterrupted, error-free, or that content is accurate, safe, or effective.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, AILAN AND ITS FOUNDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. AILAN'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNTS AILAN ACTUALLY RECEIVED FROM YOU IN THE 12 MONTHS BEFORE THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless Ailan and its founders from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms or any law.
14. Dispute Resolution — Arbitration and Class Waiver
Any dispute arising from these Terms or the Service will be resolved by binding individual arbitration, not in court, except that either party may bring claims in small-claims court. You and Ailan waive any right to a jury trial and to participate in a class action. The arbitration venue and rules will be finalized before launch.
15. Governing Law
These Terms are governed by the laws of the State of Delaware (upon incorporation), without regard to conflict-of-laws rules.
16. Changes
We may update these Terms. Material changes will be posted with a new "Last updated" date; continued use means acceptance.
